Effective Date: October 20, 2026
These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and grilpror, a business operating at 325 Adelaide Street West, Suite 410, Toronto, ON M5V 1R8, Canada, with contact details set out below. These Terms govern your access to and use of the website located at grilpror.click and any related services, content, features, and professional live broadcast production services offered by grilpror (collectively, the “Services”).
By accessing, browsing, requesting, booking, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Introduction and Acceptance of Terms
These Terms apply to all visitors, clients, customers, and other users of the Services. If you are using the Services on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms, and in that case “you” and “your” refer to that entity.
grilpror provides professional live broadcast production services, which may include planning, technical setup, coordination, live streaming, recording, production support, and related services. Additional written agreements, quotations, statements of work, production schedules, or service orders may supplement these Terms. If there is a conflict, the specific written agreement will prevail to the extent of the conflict.
2. Scope of Services
grilpror may provide one or more of the following services, depending on the engagement:
- Live broadcast production and event streaming;
- Pre-production planning and technical consultation;
- Audio, video, lighting, switching, encoding, and capture services;
- On-site or remote production coordination;
- Platform setup and stream distribution support;
- Recording, post-event file delivery, and related production outputs;
- Other related professional media production services agreed in writing.
Unless expressly stated otherwise in a written agreement, grilpror does not guarantee uninterrupted streaming, perfect audio/video quality, audience reception, third-party platform availability, or outcomes beyond its reasonable control. Services may depend on third-party providers, including internet carriers, streaming platforms, cloud services, venue equipment, and client-supplied materials.
grilpror may refuse, suspend, or terminate Services if an engagement would violate applicable law, third-party rights, safety requirements, platform terms, or professional standards.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, complete, and current information when engaging grilpror;
- Ensure you have all necessary rights, approvals, licenses, releases, and permissions for any content, footage, music, images, trademarks, locations, guests, or performers you provide or request to be used;
- Comply with all venue rules, applicable laws, and third-party platform policies;
- Cooperate in good faith with production timelines, technical requirements, and pre-production planning;
- Provide timely access to locations, credentials, equipment, network access, and other resources needed to perform the Services;
- Not use the Services for unlawful, defamatory, harassing, hateful, infringing, fraudulent, or deceptive purposes;
- Not interfere with the operation or security of the Services, systems, or associated networks;
- Obtain any required consents for recording, broadcasting, or photographing individuals where required by law.
You are solely responsible for the legality, accuracy, and appropriateness of any materials or directions you provide to grilpror. You acknowledge that live production is time-sensitive and that delays, omissions, or late changes from you may affect results, pricing, and delivery.
4. Payment Terms and Conditions
Unless otherwise stated in a written agreement or invoice, fees for Services are due as follows:
- All pricing is in Canadian dollars (CAD) unless stated otherwise;
- Deposits, retainers, or advance payments may be required to secure a booking;
- Invoices are payable by the due date specified on the invoice;
- Late payments may be subject to interest at the maximum rate permitted by applicable law, or if no rate is specified, a reasonable administrative late charge where lawful;
- You are responsible for any applicable taxes, including GST/HST, unless stated otherwise;
- Any third-party costs approved by you or reasonably incurred in performance of the Services may be billed to you, including travel, venue fees, rentals, media storage, platform costs, or subcontractor fees.
Unless otherwise agreed in writing, quotes are estimates based on the information available at the time and may change if the scope, timing, technical requirements, or client instructions change. grilpror may suspend Services for overdue amounts, subject to applicable law and any written agreement.
5. Cancellation and Refund Policy
Because live broadcast production often requires advance scheduling, preparation, equipment allocation, and labor commitments, cancellations and refunds are handled as follows unless a different written policy applies:
- Deposits and retainers are generally non-refundable to the extent permitted by law, as they reserve time and resources;
- If you cancel an engagement, you may remain responsible for work already performed, committed costs, and non-cancellable third-party charges;
- Cancellation notice should be provided in writing to grilpror as early as possible;
- Any refund, if applicable, will be calculated after deduction of earned fees, incurred costs, and applicable taxes;
- Weather, venue issues, platform outages, or client-side technical failures do not automatically entitle you to a refund if grilpror has substantially performed or stood ready to perform the Services;
- If grilpror must cancel due to circumstances within its control, the parties may agree to reschedule or provide a refund of prepaid amounts for undelivered Services, subject to applicable law and contractual limitations.
For custom production services, completed or in-progress work may not be refundable. Any statutory consumer rights that cannot be waived under applicable Canadian law remain unaffected.
6. Liability Limitations
To the maximum extent permitted by applicable law, grilpror shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business, loss of data, reputational harm, or business interruption, arising from or related to the Services or these Terms, even if advised of the possibility of such damages.
To the maximum extent permitted by law, the total aggregate liability of grilpror for any claim arising out of or relating to the Services or these Terms shall not exceed the amount actually paid by you to grilpror for the specific Services giving rise to the claim during the three (3) months preceding the event giving rise to the claim, or such other amount as may be required by applicable law.
Nothing in these Terms limits liability that cannot lawfully be limited, including liability for gross negligence, willful misconduct, fraud, or any other liability that applicable law states may not be excluded or limited.
You acknowledge that live broadcast production involves inherent risks, including equipment malfunction, connectivity issues, venue restrictions, and third-party failures, and that grilpror is not responsible for matters outside its reasonable control.
7. Intellectual Property Rights
As between you and grilpror, all pre-existing intellectual property, software, workflows, templates, processes, equipment configurations, know-how, and materials owned or licensed by grilpror remain the property of grilpror or its licensors.
Subject to full payment of all applicable fees and unless otherwise stated in a written agreement:
- You receive a limited, non-exclusive, non-transferable license to use deliverables created specifically for you for the purposes contemplated by the applicable engagement;
- grilpror may retain copies of deliverables, raw footage, project files, and production records for archival, backup, quality assurance, and legal compliance purposes, unless otherwise agreed in writing;
- You may not copy, resell, distribute, modify, reverse engineer, or create derivative works from grilpror materials except as expressly permitted;
- You represent that any content you supply does not infringe the intellectual property or publicity/privacy rights of others;
- If you provide music, logos, footage, graphics, or other materials, you are responsible for securing all necessary rights and clearances.
Any feedback, suggestions, or ideas you provide may be used by grilpror without obligation to compensate you, unless otherwise required by law or agreed in writing.
8. Data Protection and Privacy
grilpror is committed to handling personal information in accordance with applicable Canadian privacy laws, including, where applicable, the Personal Information Protection and Electronic Documents Act (PIPEDA) and relevant provincial privacy laws.
By using the Services, you consent to the collection, use, disclosure, and retention of personal information as reasonably necessary to:
- Provide and administer the Services;
- Communicate with you about bookings, scheduling, billing, and support;
- Maintain records, invoicing, and operational documentation;
- Improve services, security, and performance;
- Comply with legal and regulatory obligations;
- Manage fraud prevention, dispute resolution, and enforcement of these Terms.
grilpror may use service providers and third-party tools to support operations, including hosting, communications, analytics, payment processing, and media delivery. Where personal information is transferred to third parties, grilpror will take reasonable steps to ensure appropriate safeguards are in place.
For more information about privacy practices or to make a privacy-related request, contact grilpror using the information in Section 12.
9. Force Majeure
grilpror shall not be liable for any delay or failure to perform any obligation under these Terms to the extent such delay or failure is caused by events beyond its reasonable control, including but not limited to:
- Acts of God, fire, flood, storms, earthquakes, or other natural disasters;
- War, terrorism, civil unrest, labor disputes, strikes, or government action;
- Power failures, internet outages, telecommunications disruptions, cyber incidents, or infrastructure failures;
- Venue closures, access restrictions, health emergencies, or public safety orders;
- Third-party platform outages, bans, policy changes, or technical interruptions;
- Equipment failure not caused by gross negligence or willful misconduct of grilpror.
In such events, the parties will use commercially reasonable efforts to mitigate the impact and may reschedule or modify the Services where feasible.
10. Changes to Terms
grilpror may update or modify these Terms from time to time to reflect changes in the Services, business practices, or applicable law. The updated Terms will be posted on grilpror.click with a revised effective date.
Unless otherwise required by law, changes will become effective upon posting. Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
11. Applicable Law and Jurisdiction
These Terms and any dispute arising out of or relating to them, the Services, or any related engagement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
You agree that the courts located in Toronto, Ontario, shall have exclusive jurisdiction over any dispute, claim, or proceeding arising from or related to these Terms or the Services, subject to any non-waivable rights under applicable law. If you are a consumer and mandatory law grants you rights to bring proceedings in another forum, those rights are not intended to be waived to the extent they cannot legally be waived.

If any invalid or unenforceable provision can be modified to make it valid and enforceable while preserving its intent, it shall be deemed modified accordingly to the extent permitted by law.
These Terms, together with any applicable written agreement, quotation, invoice, or statement of work, constitute the entire agreement between you and grilpror regarding the Services and supersede prior or contemporaneous understandings on the same subject matter, to the extent permitted by law.
